The Role

We are seeking a business-oriented Deputy General Counsel, Corporate & Securities
and Deputy Corporate Secretary to partner closely with our Chief Legal Officer and executive leadership team as we scale our public-company telehealth platform. This role will lead securities law compliance, SEC reporting, corporate governance, and strategic corporate transactions while providing practical legal guidance across the business.

This role is an opportunity for rapid professional growth and expansion. We are a very lean company that listed on the NYSE through a de-SPAC transaction in May 2026. Accordingly, this role will help to lead our board of directors and management team through their first year of SEC reporting and also will be instrumental in establishing and implementing best practices. Because we are a small legal team, the ideal candidate will combine deep expertise in securities law with an eagerness to help lead our business through a broad range of transactional and other legal matters. As a growth-stage public company, we value entrepreneurialism, adaptability and the ability to pivot quickly.

Key Areas of Responsibility

  • Lead preparation and review of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
  • Advise senior leadership on securities law compliance, disclosure obligations, insider trading policies, Regulation FD, and stock exchange requirements.
  • Support Board of Directors and committee governance, including meeting materials, resolutions, and governance matters.
  • Partner with finance, accounting, investor relations, and executive teams on public company reporting and disclosure processes.
  • Support equity compensation programs, including engagement with transfer agent.
  • Draft, review, and negotiate a broad range of corporate and commercial agreements.
  • Monitor legal and regulatory developments affecting public companies, and telehealth businesses.
  • Serve as a trusted advisor to executives, helping balance legal risk with business objectives.
Skills & Experience
  • J.D. from an ABA-accredited law school and active membership in the New York State Bar
  • 5-10 years of legal experience, including significant public company securities and governance experience.
  • Experience preparing and reviewing SEC filings and advising on Exchange Act reporting obligations.
  • Strong understanding of corporate governance, disclosure controls, and public company compliance requirements.
  • Experience at a leading law firm and/or publicly traded company.
  • Healthcare, digital health, telehealth, or technology industry experience is a plus.


Note: This position is currently fully remote. However, our company is based in New York City, and candidates should be willing to travel to NYC periodically for team meetups and, in the future, work from our future New York office as needed.
