Responsibilities The Deputy General Counsel, Transactions must be a strategic transactional leader with a business-minded approach to negotiating and solving problems and significant experience in additional assigned areas. This position reports to and works closely with the Vice President and General Counsel on all transactional considerations, negotiations, executions and support for the Prime Healthcare system. This position is expected to successfully lead, negotiate and execute current and future transactions, including mergers and acquisitions, divestitures, strategic investments and joint ventures, as well as all other transactions with third parties. This position will take a leading and primary role in negotiating terms to support the organizational goals specific to each transaction, will draft, review and revise agreements, and will advise in support of preliminary review and assessment, early negotiations and letters of intent, due diligence, finalized terms negotiations and closing, and post-closure integration and implementation. This position also will assist in the administration and improvement of the legal department, particularly on the transactional and corporate governance side, to improve legal department processes, outcomes and value for all stakeholders of the company as well as reduce costs. The Deputy General Counsel, Transactions supports all business units and interacts directly with senior management across the Prime Healthcare system. This position must have subject matter expertise and deep healthcare experience, with an emphasis on hospital systems and a broad comprehension of healthcare law, compliance, and regulatory issues.Qualifications Required qualifications :D. from ABA Accredited Law SchoolMember in Good Standing of a State Bar (preferred admission in California)Minimum of five (5) years of experience with hospital M&A transactionsProven track record of successfully negotiating, completing and supporting transactionsPreferred qualifications :Minimum of ten (10) years of prior legal experience in law firm, public sector, and/or in-house position, with at least five (5) years of specialized healthcare experience.Pay Transparency Prime Healthcare offers competitive compensation and a comprehensive benefits package that provides employees the flexibility to tailor benefits according to their individual needs.
